Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Equipmeter — the computerized maintenance management software (the “Service”) provided by Equipmeter OÜ. By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm you have authority to bind that organization.

01The Service

Equipmeter is a cloud-based, software-as-a-service CMMS platform that helps maintenance teams manage assets, work orders, preventive-maintenance schedules, inspections, spare-parts inventory, and related workflows, with AI-assisted features and a web and mobile application. We may add, change, or remove features over time to improve the Service.

02Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use. When you create an account you agree to:

• provide accurate, current, and complete information;
• keep your login credentials confidential and not share them;
• be responsible for all activity that occurs under your account; and
• notify us promptly at info@equipmeter.ee of any unauthorized use.

An account administrator may invite additional users (“seats”) and is responsible for managing their access and for their compliance with these Terms.

03Subscriptions, plans, and billing

The Service is offered on a free plan and on paid subscription plans. Paid plans are billed on a per-seat basis and on a recurring (monthly or annual) cycle, as described at the point of purchase.

• Recurring billing. Unless cancelled, paid subscriptions renew automatically at the end of each billing period, and the applicable fee is charged through Paddle using your selected payment method.
• Seat changes and proration. If you add or remove seats or change plans mid-cycle, charges or credits are prorated for the remainder of the then-current billing period.
• Taxes. Prices may exclude applicable taxes (such as VAT or sales tax). Paddle, as Merchant of Record, calculates and collects any applicable taxes at checkout.
• Free plan. The free plan is provided “as is” and may be subject to feature or usage limits, which we may change.

Refunds are governed by our Refund Policy.

04Acceptable use

You agree not to, and not to permit any user to:

• use the Service in violation of any applicable law or regulation;
• upload or transmit malicious code, or attempt to gain unauthorized access to the Service or its systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
• use the Service to store or transmit content that infringes the rights of others or is unlawful; or
• use the Service to build a competing product or to benchmark it without our prior written consent.

05Your data and content

You retain all rights to the data and content you and your users submit to the Service (“Customer Data”). You grant us a limited, worldwide licence to host, process, and transmit Customer Data solely to provide and support the Service, to ensure its security, and as otherwise instructed by you. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to submit it. Our handling of personal data is described in our Privacy Policy.

06Intellectual property

The Service, including its software, design, and all related intellectual property, is and remains the property of Equipmeter and its licensors. These Terms grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription, and no other rights are granted by implication.

07Third-party services

The Service may interoperate with third-party services (for example, payment processing by Paddle, cloud hosting, and integrations you choose to enable). Your use of those services is governed by their own terms, and we are not responsible for third-party services.

08Availability and support

We aim to provide a reliable, high-availability Service but do not guarantee that it will be uninterrupted or error-free. We may perform maintenance, and we may suspend access where reasonably necessary to protect the Service, our users, or to comply with law. Support is provided as described in your plan.

09Warranties and disclaimers

Except as expressly stated in these Terms, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Nothing in these Terms limits any rights you have under mandatory consumer law.

10Limitation of liability

To the maximum extent permitted by law, Equipmeter will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11Indemnity

You agree to indemnify and hold Equipmeter harmless from claims, damages, and reasonable expenses arising from your Customer Data or your use of the Service in breach of these Terms, to the extent permitted by law.

12Term, termination, and suspension

These Terms apply for as long as you use the Service. You may cancel your subscription at any time, effective at the end of the current billing period, as described in the Refund Policy. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that creates risk or harm. On termination, your right to use the Service ends. You may export your Customer Data before termination; after a reasonable period we may delete it in line with our retention practices.

13Changes to the Service and these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, for example by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14Governing law

These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict-of-laws rules. The courts of Estonia will have jurisdiction, subject to any mandatory rights you have as a consumer to bring proceedings in your country of residence.
